The Management Board of Comarch S.A. informs about receiving on the 14th of October, 2024, from Nationale-Nederlanden Otwarty Fundusz Emerytalny (open pension fund; "OFE") a notification, in accordance with art. 69 of the Act of 29th of July, 2005, on public offering and conditions for introducing financial instruments to organized trading and on public companies ("Act"), about a decrease on the 8th of October, 2024, in the number of shares in Comarch S.A. ("Company") below 5% of votes at the General Meeting of Shareholders of the Company and thus after settlement of the transaction, OFE does not hold any shares in the Company. 

As a result of the same transaction, in connection with art. 87 sec. 1 item 2b of the Act, the funds managed by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. reduced the total number of shares held in the Company below 5% of votes at the General Meeting of Shareholders of the Company and thus after the settlement of the transaction the funds do not hold any shares in the Company.
