RB-11-2009 BZ WBK AIB Asset Management S.A. Increases its Share of Total Number of Votes at ComArch S.A. General Meeting

Pursuant to Art. 70, sec. 1 of the Act concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539), the Management Board of ComArch S.A. hereby presents the following information, regarding an increase in BZ WBK Asset Management S.A.’s share in the total number of votes at the general meeting of ComArch S.A.:

“Pursuant to Art. 69, sec 2, pt 1a) in relation to art. 87, sec. 1, pt 3b) of the Act dated 29th of July, 2005, concerning public tenders, the terms of introducing and trading financial instruments on the stock exchange, as well as public companies (Journal of Laws No. 184, pos. 1539, and subsequent changes), BZ WBK AIB Asset Management S.A. with its registered seat in Poznań, informs that, as a result of the purchase of the shares on 11th of May, 2009, customers of the company increased their share of the total number of votes at ComArch S.A.’s annual general meeting by more than 2 %. Prior to this report, the company had informed of their 16.43% share of the total number of votes at ComArch S.A.’s annual general meeting.

Prior to the above-mentioned share increase, the customers of BZ WBK AIB Asset Management S.A. held 2,752,682 of the company’s shares, which constituted 34.58 % of the company’s share capital. This gave 2,752,682 or a 18.41 % share of the total votes at ComArch S.A.'s annual general meeting.

On 11th of May, 2009, there were 2,756,060 ComArch S.A. shares in the managed securities accounts of BZ WBK AIB Asset Management S.A. customers, which constituted 34.62 % of the company's share capital. This gave 2,756,060 or a 18.43 % share of the total votes at ComArch S.A.'s annual general meeting.

At the same time, BZ WBK AIB Asset Management S.A. informed that pursuant to art. 46, sec. 1, pt 1) of the Act on investment funds dated the 27th of May, 2004, (Journal of Laws No. 146, pos. 1546, and subsequent changes), BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych Spółka Akcyjna, with its registered seat in Poznań, authorized BZ WBK AIB Asset Management S.A. to manage investment portfolioes of investment funds, whose body is Towarzystwo (hereinafter referred to as the “Funds”). With relation to the authorization mentioned above, this notice ought to take into account ComArch S.A. shares, which are held by funds."
